Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Deltha Care LLC, doing business as Deltha ("Deltha," "we," "us," or "our"). They govern your use of shopdeltha.com and any related sites, pages, and services (the "Site"), and every purchase you make through them. By accessing the Site, creating an account, or placing an order, you agree to these Terms, our Return & Refund Policy, our Shipping Policy, and our Privacy Policy, all of which are incorporated by reference. If you do not agree, do not use the Site or purchase from us.

PLEASE READ SECTION 17 CAREFULLY. IF YOU LIVE IN THE UNITED STATES, IT REQUIRES YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL OR TO TAKE PART IN A CLASS ACTION.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Site or make a purchase. By placing an order, you represent that you meet this requirement, that all information you provide is true and complete, and that you are authorized to use the payment method you submit.

2. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at try@shopdeltha.com if you suspect unauthorized use. We may suspend or terminate any account at our sole discretion, including for suspected fraud, abuse, excessive disputes, or violation of these Terms.

3. Products and Health Disclaimer

Our products are dietary supplements and personal care products. These statements have not been evaluated by the Food and Drug Administration. Deltha products are not intended to diagnose, treat, cure, or prevent any disease. Nothing on the Site, in our marketing, or from our team is medical advice. Consult a qualified healthcare provider before using any product, especially if you are pregnant, nursing, under medical supervision, taking medication, or have a medical condition or allergy. You are solely responsible for reviewing ingredients, directions, and warnings before purchase and use. Individual results vary, and testimonials reflect individual experiences, not guaranteed outcomes.

4. Orders, Pricing, and Acceptance

All orders are subject to acceptance and availability. An order confirmation email does not mean we have accepted your order. We may refuse, limit, or cancel any order for any reason, including suspected fraud, reseller activity, pricing or listing errors, or shipping restrictions, and we will refund any amount charged for a cancelled order. Prices, products, and promotions may change at any time without notice. We may limit quantities per customer, household, address, or payment method. Prices are displayed in the currency shown at checkout.

5. Payment

By submitting payment information, you authorize Deltha and its payment processors to charge the full order amount, including taxes and shipping, and any recurring charges you have expressly agreed to under Section 6. You represent that you are the authorized holder of the payment method. If a charge is declined, we may retry the payment method or cancel the order or membership.

6. Deltha VIP Membership

6.1 Enrollment and Consent

Deltha VIP ("VIP Membership") is an optional, paid, automatically renewing membership. You are enrolled in VIP Membership only if you affirmatively select the VIP enrollment option at checkout and agree to these VIP terms. The price, billing schedule, and cancellation instructions are displayed at checkout before you complete your order. After you enroll, we will email a confirmation to the address on your order that restates these terms and explains how to cancel. Your affirmative selection, along with the date, time, IP address, and order details, is recorded as evidence of your consent.

6.2 Price and Billing

VIP Membership costs $39.99 USD every 30 days, plus applicable taxes. Your first VIP charge of $39.99 will be made 10 days after the date of your initial order, and every 30 days after that. By enrolling, you authorize Deltha to charge the payment method used for your order automatically on each billing date until you cancel. VIP Membership charges are separate from the price of any products you purchase. Membership fees are non-refundable except as required by law or stated in these Terms.

6.3 Membership Benefits

While your VIP Membership is active, you receive free standard shipping on all orders, and early access to exclusive product drops and limited releases whenever Deltha offers them. Deltha does not guarantee the timing, frequency, or availability of exclusive drops. We may add, change, or remove benefits. If we materially reduce benefits or change the price, we will email you at least 14 days before the change takes effect, and you may cancel before then without further charge.

6.4 Reminders

We will send billing reminders by email as required by applicable law, including before your first VIP charge.

6.5 How to Cancel

You may cancel your VIP Membership at any time by any of these methods:

(a) submitting a cancellation request at https://shopdeltha.com/pages/contact;
(b) emailing try@shopdeltha.com with the subject line "Cancel VIP"; or
(c) replying "Cancel" to any VIP email from us.

Your cancellation takes effect when we receive your request, even if our written confirmation arrives later. If you cancel before a billing date, you will not be charged on that date or afterward. If you cancel before your first VIP charge, you will never be charged a membership fee. After cancellation, your benefits continue until the end of any billing period you have already paid for. We will send written confirmation of your cancellation, and you should keep it for your records.

6.6 Failed Payments

If a VIP payment fails, we may retry your payment method, suspend your benefits, or cancel your membership. You remain responsible for any fees that were properly due before cancellation.

7. Shipping, Title, and Risk of Loss

Shipping is governed by our Shipping Policy. We ship to the United States, Canada, the United Kingdom, and Australia. Title and risk of loss pass to you when we deliver your order to the carrier, except where the law of your country requires otherwise. You are responsible for providing an accurate shipping address. We are not responsible for delays caused by carriers, customs, weather, or other events outside our control.

8. Returns and Refunds

All sales are final, except as stated in our Return & Refund Policy, which covers damaged, defective, and incorrect items, order cancellations, and rights under the law of your country.

9. Chargebacks and Payment Disputes

9.1 Contact Us First. You agree to contact Deltha at try@shopdeltha.com and give us a reasonable opportunity to resolve any billing, order, or membership issue before filing a dispute or chargeback with your bank or card issuer. We respond within 2–5 business days and resolve most issues directly.

9.2 Our Response to Disputes. If you file a chargeback or payment dispute, we will respond to your card issuer with all relevant records. These may include your order details, checkout consent records, IP address and device data, delivery confirmation and tracking, communications with you, confirmation and reminder emails, account activity, and these Terms.

9.3 Consequences of Unfounded Disputes. If you dispute a charge that was valid under these Terms, including a charge for an order delivered as described or a VIP charge you consented to and did not cancel, we may (a) immediately suspend or terminate your account and VIP Membership, (b) refuse future orders from you, your household, or associated payment methods, and (c) to the extent permitted by law, seek recovery of amounts wrongfully reversed, including through a collections agency.

9.4 Fraud. Disputing a purchase you knowingly made and received is fraud. Deltha reports suspected friendly fraud to fraud-prevention networks and may refer serious cases to law enforcement.

Nothing in this Section limits any right you have under applicable law to dispute a charge with your card issuer.

10. Promotions, Discount Codes, and Rewards

Discount codes and promotions are subject to their stated terms, may not be combined unless stated, have no cash value, and may be modified or withdrawn at any time. We may cancel orders or revoke benefits obtained through abuse, including multiple accounts, unauthorized code sharing, or reseller activity.

11. Prohibited Uses

You agree not to use the Site or our products to resell without written authorization; submit false information or unauthorized payment methods; manipulate reviews, promotions, or pricing; scrape, copy, or data-mine the Site; interfere with the Site's security or operation; infringe our intellectual property; or violate any law. Violations may result in immediate termination and legal action.

12. Intellectual Property

All content on the Site, including the Deltha name, logos, product names, formulas, images, videos, copy, and design, is owned by or licensed to Deltha Care LLC and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any of it without our prior written consent.

13. User Content and Reviews

By submitting reviews, photos, videos, testimonials, comments, or other content, you grant Deltha a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, and display that content, along with your name and likeness as submitted, in any media for any purpose, including advertising. You represent that you own the content and that it is truthful and reflects your genuine experience. We may remove any content at our discretion.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that any product will achieve any particular result, or that the Site will be uninterrupted, secure, or error-free. Nothing in these Terms excludes any guarantee or right that cannot be excluded under the law of your country, including the Australian Consumer Law and the UK Consumer Rights Act 2015.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DELTHA CARE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO DELTHA FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Deltha Care LLC and its owners, officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or products, your violation of these Terms, your user content, or your violation of any law or third-party right.

17. Dispute Resolution, Binding Arbitration, and Class Action Waiver

17.1 Informal Resolution. Before starting any formal proceeding, you agree to send a written notice describing your claim to try@shopdeltha.com and to attempt in good faith to resolve it with us for at least 30 days.

17.2 Binding Arbitration (U.S. Customers). If you live in the United States, any dispute that is not resolved informally will be resolved by final, binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Either party may instead bring an individual claim in small claims court if it qualifies. The Federal Arbitration Act governs this Section.

17.3 Class Action and Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DELTHA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND DELTHA WAIVE ANY RIGHT TO A JURY TRIAL.

17.4 Opt-Out. You may opt out of this arbitration agreement by emailing try@shopdeltha.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms.

17.5 Customers Outside the United States. If you live in Canada, the United Kingdom, or Australia, disputes will be resolved in the courts that have jurisdiction under the law of your place of residence, and you keep any rights you have under that law.

17.6 Time Limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises or it is permanently barred.

18. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law rules, except where the law of your place of residence requires otherwise.

19. Communications

By placing an order or creating an account, you consent to receive transactional communications by email, including order confirmations, VIP confirmations, billing reminders, and policy updates. Marketing emails and text messages are sent only with your separate consent, and you can unsubscribe at any time.

20. Changes to These Terms

We may update these Terms at any time by posting the revised version on the Site. Changes apply to purchases made after posting. We will notify active VIP Members by email at least 14 days before any material change to VIP terms takes effect.

21. Termination

We may suspend or terminate your access to the Site, your account, or your VIP Membership at any time, with or without notice, for any violation of these Terms. Sections that by their nature should survive termination will survive, including those on payment, chargebacks, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

22. Miscellaneous

These Terms and the policies they incorporate are the entire agreement between you and Deltha. If any provision is found unenforceable, the rest remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms, but we may assign them without restriction.
